EnterInvest can represent the interests either of business seller (sell-side mandate) or business buyer (buy-side mandate).

Buy-side advisory services include but not limited to:

  • search for  target companies in the sectors and industries of interest;
  • regulatory environment analysis and advisory on the best possible legal practices;
  • creating long and short lists of target companies for acquisition;
  • preliminary target price estimates with the subsequent reasonableness recommendations;
  •  organizing and coordinating due diligence procedures (including Legal, Financial, and Strategic due diligence);
  • deal structuring on behalf of buyer


Sell-side advisory services include but not limited to:

  • preparation of information materials in accordance with the international standards (Information Memorandum, the teaser) that are necessary to present the project to investors;
  • development of financial and business models;
  • preliminary business valuation with the subsequent sale price recommendations, based on DCF, BV or multiples approaches;
  • active promotion ("road show") of offers and information materials among a broad range of potential investors;
  • «data-room» organization and management (access of potential investors to confidential information, ensuring the interests of the client);
  • transaction structuring advisory services;
  • process and sequence advisory on signing of essential legal documents in the course of  the deal: NDA, LOI (Term-sheet, MOU, etc.), SPA.
